Terms of Service
Last updated: October 13, 2026
These Terms of Service ("Terms") are an agreement between you and FinaLems ("FinaLems," "we," "us," or "our") governing your access to and use of the FinaLems application, including any related features, tools, and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you are creating an account on behalf of a business, you represent that you have the authority to bind that business to these Terms, and "you" refers to both you and that business.
1. The Service
FinaLems is a business operating system for small businesses: invoicing and sales, purchases and expenses, inventory tracking, payroll record-keeping, and related reporting. FinaLems is a record-keeping and workflow tool. It is not an accounting firm, a payroll processor, a tax advisor, a bank, or a money transmitter, and it does not itself move funds between you and your customers, vendors, or employees. Any payments you record in FinaLems reflect transactions that happened outside the Service (for example, a check, cash, or a bank transfer), unless a specific feature explicitly says otherwise.
2. Accounts
You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for all activity that happens under your account, including actions taken by team members you invite. Notify us promptly at finalemsllc@gmail.com if you believe your account has been accessed without authorization.
3. Subscriptions and billing
Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for the applicable fees. Fees are non-refundable except where required by law or explicitly stated otherwise. You can cancel your subscription at any time from the Billing page; cancellation takes effect at the end of the current billing period, and you'll retain access until then. We may change our pricing with advance notice; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
4. Your data and content
You retain ownership of the business data you enter into FinaLems (customer records, invoices, inventory, payroll data, and similar content, collectively "Your Data"). You're solely responsible for the accuracy of Your Data and for your compliance with any laws that apply to it, including tax, labor, employment, and payroll laws. FinaLems is a tool, not a substitute for professional accounting, legal, or tax advice; sales tax rates and similar figures shown in the app are estimates and should be independently verified. We do not access, use, or share Your Data except as described in our Privacy Policy, or as needed to provide the Service to you (for example, generating an invoice PDF or sending an invite email on your behalf).
5. Acceptable use
You agree not to use the Service to violate any law, infringe anyone's rights, transmit malicious code, attempt to gain unauthorized access to any part of the Service or another business's data, or interfere with the Service's normal operation.
6. Availability and changes to the Service
We aim to keep the Service available and reliable, but we don't guarantee uninterrupted access. We may modify, add, or remove features over time. If we make a change that materially reduces the Service's core functionality, we'll make reasonable efforts to notify active subscribers in advance.
7. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms, including non-payment of fees, and will make reasonable efforts to notify you first except where immediate action is needed to protect the Service or other users. Upon termination, we will retain Your Data for a reasonable period to allow for export, consistent with our Privacy Policy and applicable law, after which it may be deleted.
8. Disclaimers and limitation of liability
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. We are not liable for indirect, incidental, consequential, or special damages arising from your use of the Service. To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim arose.
9. Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles, and any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in New York.
10. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we'll notify you (for example, by email or an in-app notice) before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
